1. Overview

Welcome to work.flowers. These Terms of Service (“Terms”) govern your access to and use of our services, including both our points-based subscription plans and fixed-scope, non-recurring projects. These services are provided by Company Flow Pte. Ltd. (doing business as "work.flowers"), a company incorporated in Singapore. By subscribing to a plan or purchasing any points, you acknowledge and agree to be bound by these Terms.
 

2. Defined Terms

  • Company: Refers to Company Flow Pte. Ltd., operating under the brand name "work.flowers."
  • Client: Refers to any individual or legal entity that subscribes to or engages the services provided by the Company.
  • Points: The unit of value assigned to tasks under the Company’s service model, used to quantify the scope and complexity of requested work.
  • Task: A unit of work requested by the Client, to be performed by the Company and valued in Points.
  • Subscription Plan: A recurring service plan selected by the Client, entitling them to a fixed number of Points per Billing Cycle.
  • One-Time Purchase: A non-recurring purchase of a fixed number of Points by the Client, used for specific projects or deliverables without an ongoing commitment.
  • Billing Cycle: The recurring period associated with a Client’s Subscription Plan, typically defined by the start and end dates of each invoicing period.
  • Initial Commitment: The required minimum subscription term of three (3) months, during which the Client may not cancel or alter their Subscription Plan.
  • Upgrade: An increase in the Client’s Subscription Plan, resulting in a higher monthly Point allocation.
  • Cancellation: Termination of the Subscription Plan by the Client, effective at the end of the then-current Billing Cycle.
 

3. Points-Based Subscription Model

3.1 Point Allocations

  • Each Subscription Plan entitles the Client to a monthly allocation of Points, as outlined on the Company’s Pricing page.
  • Unused Points do not roll over and must be used within the applicable Billing Cycle.

3.2 Task Valuation

  • Work tasks are priced in accordance with the Company’s published Point Reference Table.
  • The Company reserves the exclusive right to determine the final Point value of any given task.
 

4. Subscription Terms

4.1 Initial Commitment

  • All recurring Subscription Plans are subject to an Initial Commitment period of three (3) months.
  • During this period, Subscription Plans may not be cancelled, downgraded, or otherwise modified.

4.2 Post-Commitment Flexibility

  • Upon completion of the Initial Commitment, Clients may upgrade, downgrade, or cancel their Subscription Plan at any time through the Stripe billing portal or by contacting the Company directly.

4.3 Mid-Cycle Changes

  • If a Client upgrades their Subscription Plan mid-cycle, their Point allocation will be increased on a pro-rated basis, calculated according to the number of days remaining in the Billing Cycle.
  • Cancellations will take effect at the conclusion of the current Billing Cycle. No partial or pro-rated refunds will be provided.
 

5. One-Time Purchase Terms

5.1 Purchase Conditions

  • Clients may elect to engage the Company for non-recurring projects by purchasing a fixed quantity of Points without subscribing to a recurring plan.
  • One-Time Purchases are billed in full at the time of purchase and are strictly non-refundable.
  • Points acquired through a One-Time Purchase must be used within the validity period, if such a period is specified at the time of purchase.
 

6. Work Execution and Client Responsibilities

6.1 Client Responsiveness

  • Timely execution of services depends on the Client providing prompt responses, approvals, and access to necessary systems or information.
  • The Company shall not be held liable for any delays or under-delivery resulting from the Client’s lack of responsiveness or cooperation.
 

7. Acceptable Use

  • Clients must not misuse the services, attempt to manipulate Point valuations, or act in bad faith. The Company reserves the right to suspend or terminate services in cases of abuse.
 

8. Intellectual Property

  • All work product, deliverables, and related intellectual property created by the Company in the course of fulfilling services shall become the property of the Client upon full payment.
  • The Company retains ownership of and the right to reuse any generic components, templates, tools, or frameworks that are not specific to the Client.
 

9. Limitation of Liability

  • To the fullest extent permitted by applicable law, Company Flow Pte. Ltd. shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of revenue, profits, goodwill, or data, arising from or related to the services provided.
 

10. Confidentiality

  • Both parties agree to maintain the confidentiality of all non-public, proprietary, or confidential information shared in the course of the engagement, except as required by law or with prior written consent.
 

11. Governing Law and Jurisdiction

  • These Terms shall be governed by and construed in accordance with the laws of Singapore.
  • Any disputes or claims arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore.
 

12. Changes to These Terms

  • The Company reserves the right to amend these Terms at any time. Material changes will be communicated to Clients via email or through the Client’s account dashboard.
